01
Agreement to these terms
These Terms of Use (“Terms”) are an agreement between you and APC Bookkeeping LLC (“APC”, “we”, “us” or “our”), a limited liability company based in Issaquah, Washington. APC’s members, managers, employees and contractors are not parties to these Terms in their personal capacities, but each of them may rely on and enforce the disclaimers, limitations and indemnities in these Terms that protect them.
They govern your use of apcbookkeeping.com and every page, form, calculator, chart and other content on it (together, the “Website”). By accessing or using the Website, or by sending us information through it, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Website.
If you use the Website for a business, you agree to these Terms for that business and confirm you have authority to do so, and “you” includes the business. You must be at least 18 years old to use the Website.
02
Information only, not professional advice
Everything on the Website, including the city and trade pages, tax and rate figures, charts, calculators, examples and answers to frequently asked questions, is general information about bookkeeping and related topics. It is not accounting, tax, legal, payroll, insurance or financial advice, and it is not tailored to your circumstances.
- APC provides bookkeeping services. APC is not a certified public accounting (CPA) firm and does not provide tax preparation, tax advice, legal advice, payroll, audit, review or other attest services.
- Tax rates, thresholds, premiums, deadlines and rules change often and apply differently to each business. Figures on the Website were checked when published, but they may be out of date, incomplete or wrong, and they may not apply to you.
- Calculators, charts and examples are illustrations based on simplified assumptions. Their results are estimates, not quotes, assessments or advice.
- Before acting on anything you read on the Website, confirm it with the government agency concerned or with a qualified professional, such as a CPA or attorney, who knows your situation.
You are solely responsible for your decisions and filings. To the fullest extent permitted by law, APC is not responsible for any loss, tax, penalty, interest or other consequence that results from relying on the Website.
03
No client relationship
Using the Website, sending the questionnaire, booking or holding a free consultation, or emailing, calling or texting us does not make you an APC client and does not create a professional, fiduciary, advisory or confidential relationship beyond what our Privacy Policy describes. A client relationship begins only when you and APC both sign a written engagement agreement, and that agreement, not these Terms, governs the services. We may decline any enquiry or engagement. A quote is binding only if it is in writing, and only on its stated terms.
04
Calls, texts and emails
When you give us your phone number or email address, you agree that APC may contact you at that number or address, by call, text message or email, about your enquiry, a consultation and our services, including follow-ups. Message and data rates may apply. You can opt out of texts by replying STOP, and out of marketing emails with the unsubscribe link or by telling us. Agreeing to be contacted is not a condition of buying any service.
You agree that agreements, notices and other communications we send you electronically satisfy any legal requirement that they be in writing.
Email, text messages and web forms are not fully secure. Do not use them to send Social Security numbers, account numbers, passwords or other sensitive information.
05
Information you send us
You confirm that the information you send us is accurate, that you have the right to share it, and that it does not include anyone else’s personal information without their permission. You give APC a non-exclusive, royalty-free licence to use, copy, store and process what you send, including with the service providers and AI tools described in our Privacy Policy, to respond to you, to evaluate and provide services, and to run our business as that policy describes.
If you send us suggestions or feedback about the Website or our services, we may use them freely, without any obligation to you.
06
Acceptable use
You agree not to:
- use the Website in breach of any law or anyone’s rights;
- submit false or misleading information, impersonate anyone, or submit information you have no right to share;
- send spam, malicious code, or automated or bulk submissions through our forms;
- try to gain unauthorised access to the Website, its servers or its accounts, or probe, scan or test its vulnerabilities;
- interfere with or disrupt the Website, including by placing an unreasonable load on it; or
- copy, scrape, frame or republish the Website’s content, design or code for commercial purposes, except as section 7 allows.
07
Intellectual property
The Website and its content, including text, charts, calculators, graphics, page designs, code, and the APC Bookkeeping name and logo, belong to APC or its licensors and are protected by copyright, trademark and other laws. We give you a limited, revocable, non-transferable licence to view and use the Website for your own information and business, and to print or share individual pages or links to them with attribution. Search engines and AI assistants may index, summarise and link to the Website in line with our robots.txt file. All other rights are reserved, and any other use needs our written permission.
QuickBooks and ProAdvisor are trademarks of Intuit Inc. APC is an independent business, and its QuickBooks certification does not mean Intuit endorses or is affiliated with APC. References to government agencies, cities and other organisations are for information only and do not imply any affiliation or endorsement.
08
Third-party sites and services
The Website links to, and relies on, services run by others, such as Google Calendar for booking calls and the websites of government agencies. We do not control them and are not responsible for their content, availability, security or practices. You use them at your own risk and under their own terms and privacy policies.
09
Disclaimer of warranties
To the fullest extent permitted by law, the Website and all of its content are provided “as is” and “as available”, with all faults and without warranties of any kind, express or implied. APC disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and completeness, and any warranties arising from a course of dealing or usage of trade. APC does not warrant that the Website will be uninterrupted, timely, secure or error-free, that its content is accurate, complete or current, or that it is free of viruses or other harmful components.
10
Limitation of liability
To the fullest extent permitted by law:
- APC and its members, managers, employees, contractors and agents (the “APC Parties”) will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, for any loss of profits, revenue, business, data or goodwill, or for any tax, penalty, interest or assessment, arising out of or relating to the Website or these Terms, however caused and under any theory of liability, even if advised of the possibility.
- The APC Parties’ total liability for all claims arising out of or relating to the Website or these Terms will not exceed one hundred US dollars (US$100).
These limits apply to the Website and these Terms. Liability for services provided under an engagement agreement is governed by that agreement. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. These limits are an essential part of the bargain between you and APC: the Website is provided free of charge in reliance on them.
11
Indemnification
You agree to defend, indemnify and hold harmless the APC Parties from and against all claims, liabilities, damages, losses, costs and expenses, including reasonable attorneys’ fees, arising out of or relating to your use or misuse of the Website, the information you send us, your breach of these Terms, or your violation of any law or the rights of any third party.
12
Disputes, governing law and venue
- Talk to us first. Before starting any legal claim, you agree to email paulaleksic@apcbookkeeping.com, describe the issue, and give us 30 days to try to resolve it informally.
- Governing law. These Terms, and any dispute arising out of or relating to them or the Website, are governed by the laws of the State of Washington, without regard to its conflict-of-law rules.
- Venue. Any legal action must be brought only in the state courts located in King County, Washington, or in the United States District Court for the Western District of Washington at Seattle, and you consent to the personal jurisdiction of those courts.
- Time limit. To the extent permitted by law, any claim arising out of or relating to the Website or these Terms must be brought within one year after it arises, or it is permanently barred.
- Individual claims only. To the extent permitted by law, claims may be brought only on an individual basis, and not as a plaintiff or class member in any class, collective or representative proceeding.
- Jury waiver. To the extent permitted by law, you and APC each waive any right to a jury trial in any dispute arising out of or relating to the Website or these Terms.
13
Changes, suspension and termination
We may change, suspend or discontinue any part of the Website at any time without notice, and we may suspend or end your access if you breach these Terms. We may update these Terms by posting a new version on this page and changing the “Last updated” date at the top. Changes apply from the time they are posted, but not to a dispute we were notified of before the change. Your continued use of the Website after changes are posted means you accept them.
14
General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and APC about the Website and replace any earlier understanding about it. A signed engagement agreement governs any services and controls if it conflicts with these Terms.
- Severability. If any part of these Terms is found unenforceable, it will be enforced to the greatest extent permitted, and the rest of these Terms remain in effect.
- No waiver. If we do not enforce a provision, we do not waive our right to enforce it later.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them, including to an affiliate or to a successor in a reorganisation, merger or sale.
- Survival. Sections 2, 3, 5, 7 and 9 to 14 survive the end of your use of the Website.
- Interpretation. Headings and the summary at the top of this page are for convenience only and do not affect the meaning of these Terms. “Including” means “including without limitation”.
- Where the Website is intended for. The Website is intended for use in the United States.
